Terms and Conditions

These Terms and Conditions are the agreement between you and Prodiasto Technologies for the use of Dilsho. You accept them when you create an account (the signup form records the version you accepted and when), when you pay for a period, and by continuing to use Dilsho after any update. The Privacy Policy and the Refund and Cancellation Policy are part of these terms.

1. Introduction

  1. This website, the Dilsho POS, the shop portal, the Dilsho app and the online storefronts (together, "the Service") are owned and operated by Prodiasto Technologies, a sole proprietorship, the maker of Dilsho, at www.prodiasto.com (hereinafter and throughout the Service referred to as "we", "us" and "our").
  2. We offer the Service, including all information, tools, products and services available from it, to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here. "Products" means the subscription plans and the features listed on the Pricing page.
  3. If you have any problems subscribing to or using the Service, or require support after subscribing, please contact us through our Contact page. A customer who has a problem with an order placed on a shop's storefront contacts that shop first; the shop's phone is on the order.

2. Applicability and Updates

  1. By visiting our site, subscribing to a plan, or placing an order with a shop through its storefront, you engage in our "Service" and agree to be bound by the following terms and conditions ("Terms and Conditions"), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms and Conditions apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content. An order placed on a shop's storefront is a contract between the customer and that shop, not with us.
  2. In consideration of your use of the Service, you represent that you are of legal age to form a binding contract and are not a person barred from receiving products and services under the laws of Pakistan or other applicable jurisdiction. A shop account is opened by a person entitled to bind that business.
  3. We may need to update our Terms and Conditions from time to time. Each time you pay for a period, or place an order, you will be agreeing to the latest version of our Terms and Conditions. The version you accepted at signup is recorded with your account, and the version in force is shown at the foot of this page.
  4. The subscription. Dilsho is a monthly subscription for shops, priced per counter (one POS till): Counter (Rs 1,500 for the first counter) or Master with the online store (Rs 3,000 for the first counter), and Rs 1,000 for each further counter, each period covering 30 days, in whole rupees with nothing added at checkout, exactly as shown on the Pricing page. A new shop gets a 14-day free trial from approval as Master with two counters; nothing is charged unless you choose a plan and pay. Each period is paid in advance through Safepay, our payment processor; your card or wallet details go to Safepay and never reach us. Nothing renews automatically. When a period ends you keep a 7-day grace window with everything working; after it, the cloud services (sync, the shop portal, the app and the online store) pause until you pay, while your POS till keeps selling offline and your data stays yours. A counter you add, or an upgrade to Master, starts at once and is charged for the days left in the period (never less than Rs 100); a counter you remove, or a move back to Counter, applies at your next renewal. Shops that paid for POS only or POS + Online store before 1 November 2026 keep that plan and price for as long as they stay on it. Refunds, cancellations and changes of plan are governed by the Refund and Cancellation Policy.
  5. The storefront. A shop on the Master plan may sell to its customers through its online storefront on the Service. The shop lists, prices, stocks, prepares and delivers its own goods with its own staff and is paid in cash on delivery. The shop answers for its goods, its prices, its delivery and the handling of its customers' data. Dilsho holds no stock, ships nothing and is not the seller of anything offered on a storefront.

3. Terms of Usage

  1. You are prohibited from using the Service or its content:
    • for any unlawful purpose;
    • to solicit others to perform or participate in any unlawful acts;
    • to violate any international, federal, provincial or state laws, regulations and rules;
    • to infringe upon or violate our intellectual property rights or the intellectual property rights of others;
    • to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;
    • to submit false or misleading information;
    • to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or interfere with or circumvent the security features of our Service, any related website, other websites, or the internet;
    • to collect or track the personal information of others or spam, phish, pharm, pretext, spider, crawl, or scrape;
    • to list on a storefront goods that the shop may not lawfully sell;
    • to use a customer's name, phone, address or location for anything but that customer's order; or
    • for any obscene or immoral purpose.
  2. We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses.

4. Intellectual Property

The Service and its related software and content (including images and designs) are the intellectual property of and are exclusively owned by us. The structure, organization, and code of the Service and its related software contain valuable trade secrets and confidential information of Prodiasto Technologies. Except as expressly stated herein, these terms and conditions do not grant you any intellectual property rights whatsoever in the Service and its related software and all rights are reserved by Prodiasto Technologies. A shop's own names, logos, product photos, prices and business records remain the shop's; the shop grants us a licence to store and display them within the Service for as long as the shop uses it.

5. Indemnity and Limitation of Liability

  1. You agree to indemnify us, defend and hold us harmless and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third-party due to or arising out of your breach of these Terms and Conditions or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
  2. Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on the Service for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.
  3. Your use of any information or materials on the Service is entirely at your own risk, for which we shall not be liable. It shall be your own responsibility to ensure that any products, services or information available through the Service meet your specific requirements. The goods, prices and stock shown on a shop's storefront are that shop's description, not ours.
  4. To the extent permitted by law, we also disclaim all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
  5. We reserve the right to decline or delay a shop account or a payment. This is usually for the following reasons:
    • The shop's application is still being reviewed, or was declined.
    • The payment was not confirmed to us by Safepay.
    • The registration details given to us were false or misleading.
    • Any reason outside of our control.
    A shop reserves the right to not process an order placed on its storefront. This is usually for the following reasons, and it is the shop's decision, not ours:
    • The shop no longer holds stock of the goods that you ordered.
    • The shop is unable to deliver to your location.
    • The goods that you have ordered are no longer available.
    • Any reason outside of the shop's control.

6. Termination

We may immediately change or terminate your access to our products, services and the Service, or any online membership(s) with us, with or without notice, at any time, without liability to you, any other user or any third party. We reserve the right to terminate your access if, without limitation, you have: (1) provided us with false or misleading registration information; (2) interfered with other users or the administration of our services or websites; (3) upon a request by law enforcement or other governmental authorities; or (4) otherwise violated these Terms and Conditions.

What this looks like in the Service: a suspension locks the account and tells you why, and never deletes its data; an unpaid period pauses the cloud services after the grace window and never the POS till; and an approved account deletion erases the shop's data as section 6 of the Privacy Policy describes. You may close your account at any time from the shop portal or the app.

7. Severability and Waiver

If any portion of these terms is found to be unenforceable, the unenforceable portion will be deemed amended to the minimum extent necessary to make it enforceable, and if it cannot be made enforceable, then it will be severed and the remaining portion will remain in full force and effect. If we fail to enforce any of these terms, it will not be considered a waiver. Any amendment to or waiver of these terms must be made in writing and signed by us.

8. Governing Law

Our Terms and Conditions are governed by the laws of the Islamic Republic of Pakistan and you agree that the courts of Pakistan (including any consumer court) will have exclusive jurisdiction in any dispute that you have with us.
